Terms of Service

1. Who may use Soffo

You must be at least 13 years old. If you are using Soffo for an organization, you confirm you are authorized to accept these terms on its behalf, and “you” means both you and that organization.

2. Your account

Give us accurate information when you sign up, keep your credentials to yourself, and tell us promptly if you think someone else has reached your account. You are responsible for what happens under it, including what your agents do.

3. Private access

Soffo is currently offered by invitation, and parts of it are early software. Features may change or disappear, availability is not guaranteed, and we may grant or withdraw access at our discretion.

4. Acceptable use

Do not use Soffo to break the law, infringe anyone’s rights, or harm anyone. In particular, do not:

5. Your content

What you bring to Soffo stays yours. You grant us a limited license to host, store, transmit, and process it, and to send the parts an agent needs to the model providers that serve your request, all for the purpose of running the service for you. You are responsible for having the rights to the content you bring.

6. Agents and connected services

Agents act on the instructions and permissions you give them, and their output can be wrong. Review what an agent produces before relying on it, and do not give an agent access you would not give a person in the same seat. Third-party tools you connect are governed by their own terms, and we are not responsible for them or for what they do with the data you send them.

7. Our intellectual property

Soffo, including its software, design, and trademarks, belongs to us. These terms grant you a limited, revocable, non-transferable right to use the service, and nothing more.

8. Fees

Paid plans are billed in advance and are non-refundable except where the law requires otherwise. We may change pricing with reasonable notice, effective at your next billing period.

9. Termination

You may stop using Soffo and close your account at any time. We may suspend or end your access if you breach these terms, or if we discontinue the service. After termination, your workspace data may be deleted, so export anything you want to keep.

10. Disclaimers

Soffo is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error free, or that agent output will be accurate.

11. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the service will not exceed the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars.

12. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and costs, including reasonable legal fees, arising from your use of Soffo, your content, or your breach of these terms.

13. Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Disputes will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

14. Changes

We may update these terms. We will post the new version on this page and change the date above, and continuing to use Soffo after a change means you accept it.
