Terms of Service

These Terms of Service constitute a legally binding agreement between you and Soffo Insurance ("we," "us," or "our") governing your access to and use of app.getsoffo.com and any related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

Soffo provides software tools to help plaintiff-side law firms evaluate denied or underpaid home insurance claims. The Services are intended for professional, internal business use. You are responsible for ensuring your use complies with all applicable laws and regulations in your jurisdiction.

2. Intellectual Property

Our content

We own or are licensed to use all intellectual property rights in the Services, including source code, software, designs, text, and graphics (collectively, "Content"), as well as all trademarks and logos ("Marks"). Content and Marks are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes only. You may not copy, reproduce, distribute, sell, or otherwise exploit any Content or Marks without our prior written consent.

Your submissions

By sending us feedback, suggestions, or other information about the Services ("Submissions"), you assign to us all intellectual property rights in those Submissions. We may use Submissions for any lawful purpose without compensation to you.

You are solely responsible for any content or data you upload or transmit through the Services. You represent that you have all necessary rights to submit such content and that doing so does not violate any applicable law or third-party rights.

These Terms remain in effect while you use the Services. We may terminate or suspend your access at any time, without notice or liability, for any reason including breach of these Terms. Upon termination, your right to use the Services ceases immediately. We reserve the right to take appropriate legal action for any violations.

We reserve the right to modify or discontinue the Services at any time without notice. We are not liable for any loss or inconvenience resulting from service interruptions, modifications, or downtime. We have no obligation to maintain or support any particular version of the Services.

8. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. You irrevocably consent to the exclusive jurisdiction of courts located in Delaware for resolution of any dispute arising from these Terms.

9. Dispute Resolution

Before initiating formal proceedings, the parties agree to first attempt to resolve any dispute informally by contacting us at hello@getsoffo.com. If informal resolution fails after 30 days, disputes shall be resolved through binding arbitration rather than in court, except that either party may seek injunctive relief in court to protect intellectual property rights. You waive any right to participate in class action proceedings.

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be error-free, uninterrupted, or free of harmful components. Your use of the Services is at your sole risk.

11. Limitations of Liability

To the fullest extent permitted by law, we and our directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, or loss of data — arising from your use of the Services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim will not exceed the amount you paid us in the twelve months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: your use of the Services; your breach of these Terms; your violation of any third-party rights; or any harmful act toward another user of the Services.

We process data you transmit to the Services as necessary to provide and manage the Services. You are solely responsible for the data you submit. While we perform regular backups, we are not liable for any loss or corruption of your data. Please refer to our Privacy Policy for full details on how we handle your information.

14. Miscellaneous

These Terms constitute the entire agreement between you and us regarding the Services. Our failure to enforce any provision does not constitute a waiver of that provision. If any provision is found unenforceable, the remaining provisions remain in full effect. We may assign our rights and obligations under these Terms at any time. You may not assign your rights without our written consent.
